The AAR holds an annual business meeting in conjunction with the Annual Meeting at a place and time fixed by the Board of Directors. The purpose of the meeting is to transact such business as may be presented to the members by the Board.
Twenty-five members constitute a quorum at the annual business meeting. Any business is transacted by majority vote.
Members may propose resolutions for consideration at the meeting. Any such proposals must (1) be received by the office of the Executive Director at least thirty days prior to the Annual Meeting; (2) be in proper parliamentary form; (3) be signed by at least twenty‐five members; (4) be no more than three-hundred words in length: and (5) deal with matters relating to the purposes of the Academy as set forth in Article II of the AAR Bylaws. Resolutions approved at the Annual Business Meeting do not supersede the fiduciary duties and authority of the Board of Directors as the governing body of the Academy.
